Welcome to the KORA website (the “Website”). The Website is the property of and is operated by KORA Llc. – a company subject to coordination and control by its general meetings of founders and heads of organization -, for the benefit of itself and other companies within the KORA Group, with its registered office in Kutuzova 2A, 69071, Zaporozhye – Ukraine and its official retail entrepreneur partners.

The following Terms and Conditions (henceforth: the “Terms and Conditions”) are valid between you and KORA, including KORA Llc. and official retail entrepreneur partner GANTIMUROVA OLENA, “The Seller” 04211, av. Heroiv Stalinhrada 10А/8/34 Kyiv – Ukraine, Register Number 3123218086 (from 28.07.2016), (henceforth: KORA; may be referred to as “us” and “we”) and apply to all users and orders placed on KORA’s website www.kora.ua, and orders placed by e-mail, phone or by live chat with KORA’s Customer Service Team.

Please note that KORA does not guarantee that all products presented on the Website are in stock or are available for purchase. KORA reserves its right to stop selling a product.

These “Terms and Conditions” along with your Order Acceptance constitute the contract between us and you for the supply of Products. No other terms and conditions shall apply. The contract can’t be modified unless we agree to vary it in writing or by email.

By confirming that you have read and accepted these Terms and Conditions when you submit an Order through the Website, you confirm your unconditional acceptance.

We invite you to carefully review these Website “Terms and Conditions” before continuing to access or using the Website. These Terms apply to all visitors to, or users of, the Website. By accessing or using the Website you confirm your acceptance of these “Terms and Conditions” and your agreement to be bound by them. If you do not accept these “Terms and Conditions”, do not use this Website. We reserve the right to terminate or suspend your access or use of the Website if either: we reasonably consider that you have breached these “Terms and Conditions”, or we consider it necessary to do so for security purposes.

not agree to changes to these “Terms and Conditions”, you must not place an order for products through the Site.

A copy of these Terms of Sale can be stored electronically or printed by all users of our Website for future reference.

2. SITE ACTIVITY

This Site displays and promotes the sale of products produced under the registered trademark “KORA” (“Products”).

This Site includes multiple features to promote the sale of Products and enable Users to make informed

purchase decisions, such as the ability for Users to:

• Complete online purchases of Products;
• Register on the Site and activate the “Personal account” personal area to access dedicated areas and content;
• Subscribe to mailing lists to receive newsletters regarding Products and initiatives of the Site;
• Participate in promotional activities;
• Carry out other activities in strict accordance with the Site’s policies.

Users are required to:

• Provide true and accurate personal information when they register to the Site and/or submit Orders;
• Ensure that their personal information stored on the Site is constantly updated;
• Read the Privacy Policy;
• Store their credentials to access the “Your Personal Account Page” area in a safe place.

Every User shall act in accordance with these Terms and Conditions, the Privacy Policy, the Cookie Policy, and all applicable laws and regulations.

KORA reserves the right to terminate or suspend access to, or use of, the Site by a User, without prior notice, if KORA considers that the User has violated these Terms and Conditions or that suspension or termination are appropriate for security reasons.

3. CHANGES TO THE TERMS AND CONDITIONS

KORA reserves the right to change, modify, revise, add or remove portions of these “Terms and Conditions” by updating this document, at any time and without prior notice to you. Changes to these “Terms and Conditions” will be communicated by placing a notice on this Website. We thus invite you to check these “Terms and Conditions” periodically. If you do not agree to any such change, you must discontinue the access or use of the Website. By continuing the use of the Website following the posting of changes you accept and agree to the changes.

The date of the latest update is found in the final section of the Terms and Conditions as well in the head of this document. Each purchase is subject to the Terms and Conditions in the version applicable at the date of submitting your Order, so no such changes to the Terms of Sale will apply to any order for which you have already received an Order Acceptance. Please inform yourself about the applying version of Terms and Conditions before placing and submitting your Order.

The language of the Terms and Conditions is English.

5. DEFINITIONS

In this document:

“Consumer” means any physical person making purchases for purposes unrelated to their business, commercial, artisanal or professional activity.

“Consumer Code” means the The Law of Ukraine on the Protection of Consumer Rights № 1023-XII from 12.05.1991 (N 30, art.379) including changes made on 15.08.2022 N 2518-IX applying to Products shipped to Europe.

“Contract” means the contract between you and us for the sale and purchase of Products, comprising your Order, our e-mail confirmation of our acceptance of your Order and these Terms of Sale.

“CRD” means the Consumer Rights Directive (EU Directive 2011/83/EU on consumer rights).

“Countries” means European Union countries, Ukraine.

“Delivery Receipt” means the delivery form listing the Products shipped. This form is sent along with the Products.

“Intellectual Property Rights” means patents of any type, database rights, copyright, design rights, trademarks and other similar rights together with the right to apply for protection for any such rights, notwithstanding whether they have been registered or not and including any pending registration.

“KORA”, “we” “us”, or “our” means a KORA Llc., the owner of the Website and all intellectual property, including registered “KORA” trademark, – company subject to coordination and control by its general meetings of founders and heads of organization -, for the benefit of itself and other companies within the KORA Group, including official retail entrepreneur partners  with its registered office in Kutuzova 2A, 69071, Zaporozhye – Ukraine, company Register Number 22116246 and

“KORA Store” means any KORA store listed as available on our Website, including online shopping facility.

“Order” means an order for Products.

“Order Processing Receipt” means the e-mail KORA will send to you at the time your Order is received by KORA.

“Order Completed” means shipment of all or part of the ordered Products.

“Products” means the products that we sell on the Website from time to time.

“Ready-to-Wear Products” means ready-made garments, sold in finished condition and in standardized sizes.

“You” means our valued customer

“Website” means our website located at http://www.kora.ua.

6. PLACING AN ORDER

To place an Order, you must be 18 years of age or over and by placing an order you represent that you are at least 18 years of age.

Рlease, pay attention, that the selection and availability of products, as well as prices may vary in UK/RU and EN version. Products displayed in English version are available and subject to delivery within Europe. Products displayed in Ukrainian/Russian version are available and subject to delivery within Ukraine and non-European countries.

By using the Website and/or placing an order on the Website, by telephone or e-mail you confirm that you have read these Terms and Conditions and the Privacy Policy, and that you accept them. Please make sure that you have read and understood the Terms and Conditions before you place an order. An order can only be placed if you have previously confirmed that you accept these Terms and Conditions. Before you place your order, you will be given the opportunity to correct any input errors, review your selections, the information you have provided and the total price of your order. Please note that products in your shopping Cart are not reserved and may be purchased by other customers until you have placed the order at checkout and received the order confirmation email. If prolonged inactivity causes your connection to the Website to fail, your selection of products may be lost. In such case, you will be required to re-enter your selection of products to the shopping Cart.

If you place an Order by telephone, you will have to register on the Website during the call and provide us with an e-mail address.

You will have to select the Products on the Website, select color and size and add them to your Cart. If you wish to proceed with the purchase, you may choose one of the following options:

– You may proceed without any registration just making “BUY IN 1 CLICK” purchase. We will send you information about your order on the e-mail. Then our manager will contact you shortly to confirm and set all order, payment and shipping details. After all the details of your order are set, you will be able to pay your order in your «Personal account» on our website.

– Website check-out option by adding products to your “CART” and clicking on “CHECKOUT” button. In this case, you may proceed through the registration or the login into your personal account. You are responsible for maintaining the confidentiality of your password and restricting access to your password and account. You agree to accept responsibility for all purchases and activities that occur under your account.

Once you have selected online payment method you will be redirected to the payment page where in order to finalize the checkout you will click on the “PLACE ORDER” button. Each Order submitted constitutes an offer to purchase Products from us.

Once you have selected Pre-order option we will send you information about your order on the e-mail. Then our manager will contact you shortly to confirm and set all order, payment and shipping details. After all the details of your order are set, you will be able to pay your order in your «Personal account» on our website.

7. ORDER CONFIRMATION

After you have placed your Order through the Website or by telephon, we will send you the Order Processing Receipt by e-mail which contains your order number, details of the product or products you have ordered from us, your payment details and delivery details.

Customers must verify that all information in the Order Processing Receipt, including but not limited to all details concerning the Products, the delivery address and all personal information, is correct. If any information in the Order is not correct or accurate or if you do not receive the Order Processing Receipt within 12 hours of placing the Order, contact us at +38.06.72087742 or by e-mail at internetshop@kora.ua before you try to place another Order for the same Products. Please note that the the Order Processing Receipt is an acknowledgement that we have received your order and your order is being processed and it is not an acceptance of the order.

8. ACCEPTANCE AND SHIPPING INFORMATION

Please note that all orders placed by you are subject to acceptance by us. We may, at our discretion, choose not to accept your order for any reason whatsoever without any liability to you, including but not limited to cases where: you provided us with incorrect information, including without limitation, insufficient or incorrect payment details, incorrect billing information; insufficient or incorrect shipping address; or fraudulent information – there is an error on the Website relating to the Products that you have ordered, for example an error relating to the price or description of the Products as displayed on our Website; the Products that you have ordered are no longer available through our Website; the amount of the proposed transaction is excessively high, based on our case-by-case evaluation, and subject to our discretion; or – we believe that you are under the age of 18. If we are unable to accept your Order, we will contact you at the e-mail address or telephone number that you have provided to us, as soon as possible.

Once the order has been processed, a shipping confirmation e-mail will be sent with all relevant information about your order and these Terms and Conditions. The shipping confirmation is our acceptance of your order.

Until then, the Seller retains the right to refuse any Order at its sole discretion, including but not limited to the following circumstances:

• The User does not meet the eligibility-to-purchase requirements according to these Terms and Conditions;
• Shipment of parcels to the delivery address indicated in the Order is restricted, impossible or extremely difficult;
• The Product is no longer in stock.

THE SELLER CANNOT BE HELD LIABLE BY REASON OF WITHDRAWING ANY PRODUCT FROM THE SITE AFTER AN ORDER SUBMISSION OR FOR REFUSING TO ACCEPT ANY ORDER. IT MAY ALSO UNINTENTIONALLY HAPPEN THAT THE SITE SHOWS AS AVAILABLE PRODUCTS THAT ARE ACTUALLY UNAVAILABLE AT THAT MOMENT.

The Seller intends to notify Users of any refusal of Order in a prompt manner.

Please note that KORA does not guarantee that all products presented on the Website are in stock at the time of your order.

If some products turned out to be out of stock we will contact you shortly, by phone or by e-mail to verify your interest in the fulfilment of a partial Order or whether you intend to cancel the Order. If we already have received payment for such order we will refund the amount of your order or a part of it, which was cancelled. You hereby acknowledge and agree that we reserve the right to accept your Order in whole or in part.

After shipping of your Order you will receive Order Completed e-mail with shipping confirmation and estimated delivery dates. That is the acceptance of your order.

9. PRODUCTS

All information about the Products published on this Site is for descriptive or promotional purposes only (“Product information”).

From time to time, we may modify, vary or withdraw (on either a permanent or temporary basis) some of the products and services and/or the features and specifications of those products and services, that are displayed on or made available to you through the Website, or make changes to the applicable prices for any such product or services, without notice.

Although we will make any reasonable efforts to ensure that the information accessible on the Website is accurate and constantly up-to-date, to the maximum extent permitted by applicable law, KORA does not accept any responsibility for the correctness, completeness, accuracy or currency of any information on the Website, including but not limited to products description, pricing and/or availability on the Website.

The inclusion of any products or services on the Website does not imply, warrant or guarantee that these products or services will be available through the Website if you wish to place an order for such products and/or use such services at any particular time. We have made every effort to display, as accurately as possible, the colors of our products that appear on the Website. However, the actual color you will see will depend on your computer settings and we cannot guarantee that your computer will accurately display our colors.

10. PRODUCT AVAILABILITY

We will make all reasonable efforts to ensure that the prices and other information about Products displayed on the Website are accurate and up-to-date. However, the inclusion of any Products on our Website does not imply, warrant or guarantee that all products presented on the Website are in stock at the time of your order. If a product is unavailable, we will contact you shortly, by phone or by e-mail. If only some of the Products ordered are available, we will promptly contact the Customer by email to verify their interest in the fulfilment of a partial Order, of a full Order but in multiple shipments or whether they intend to cancel the Order. We will have the right, at any time and without previous notice, to make changes to the information about Products displayed on the Website, including without limitation information about prices, description or the availability of Products. Changes will not however affect the price, availability or description of any Products for which you received the Order Acceptance.

11. GIFTS

Subject to the restrictions in Clause 6, you may purchase Products as a Gift and have it sent to a different recipient. By making a Gift purchase, you represent that you have permission to provide to us information belonging to the Gift recipient. Please note that you will be liable for providing the recipient’s personal data in compliance with any applicable privacy law. We invite you to consult our privacy policy on the Website before providing us with a third party’s personal data. We will deliver the Gift to your recipient in reliance upon your representations. After shipping, you will receive “Order completed” e-mail with shipping information and estimated delivery dates.

12. PRICES

The prices of the Products are indicated on the Website and will be confirmed in the Order check-out page, in the Order Processing Receipt, in the Order Confirmation as well as in the e-invoice you receive after your purchase and Delievery Receipt in your parcel you receive after. We reserve the right to vary the price of our Products at any time, provided that we will not alter the price of any Product after we send you the Order Confirmation. Please be aware that prices charged for any Products purchased on the Website may vary to reflect local market pricing and applicable duties in different countries. Prices are inclusive of VAT unless stated otherwise. Unless specifically stated otherwise, all shipping charges on an Order will be debited in full to the Customer (“Shipping charges”). The Shipping charge amount will first be calculated and shown at checkout. You may pay by credit card or e-wallet as listed on our check-out page. All prices of Products, shipping charges and other costs debited to the Customer (collectively, the “Purchase price”) published on the Site are expressed in EUR. The full Purchase price will be repeatedly shown at checkout, in the Order summary and in the Order Processing Receipt. Payment must be made in the currency as indicated on your Order before you submit it. Please be advised that you may sustain some extra charges imposed by your credit card issuer or by your bank, for which we deny any responsibility.

In the event of any error or mistake in the Product prices published on this Site, the Seller retains the right to modify the relevant Purchase prices at any time. Incorrect Purchase prices will not be binding for the Seller or the Customer in any case, even after the Customer has received the Order summary.

The Seller is under no obligation to accept or execute any Order for Products published at an incorrect Purchase price and reserves the right to refuse or cancel the Order.

13. PAYMENTS

The Internet payment service is carried out in accordance with the Rules of the international payment systems Visa, MasterCard and the FONDY Payment System on the principles of confidentiality and security of making a payment, for which the most modern methods of verification, encryption and data transmission over closed communication channels are used. Entering bank card data is carried out on a secure payment page.

Payment by credit/debit card.

The Seller does not directly process any credit/debit card details or other financial information of the Customer and uses a primary payment gateway (“Payment gateway”) to authorize any Payment.

The Payment gateway protects the credit/debit card details by encrypting sensitive information to ensure that such information is passed securely between the Customer and this Site, on one side, and between this Site and the payment processor, on the other side. However, the Seller cannot be held liable for any error, negligence or wrongdoing referable to how the Payment gateway has managed the financial transaction linked to the purchase of the Products on this Site.

This Site also uses Secure Sockets Layer (SSL) technology to guarantee a higher standard of safety on any purchase of Products.

You will be responsible for the payment of any charges applied by your bank to the transfer. Please note that we will only accept payments from bank accounts whose holder is the person placing the Order on the Website and who will then receive the e-invoice. We will not accept your Order, neither will we supply the Products to you until we receive confirmation from our bank that the payment has been successfully credited to our bank account. We reserve the right to verify the identity of the bank account holder by requesting appropriate documentation. We take all reasonable care to make the Website secure and to prevent frauds. All transactions on the Website are processed using a secure online payment gateway that encrypts your card details in a secure host environment. You must supply your card details when you place your Order. On the page for entering bank card data, you will need to enter bank card data: card number, cardholder name, card expiration date, three-digit security code (CVV2 for VISA, CVC2 for MasterCard). Your credit card will be debited for the total value of the Order Processing Receipt. We will not accept your Order, neither will we supply the Products to you until your credit card issuer has authorized the use of your card for payment of the Products ordered. If we do not receive such authorization, we will notify you.

Payment by e-Wallet.

Apple Pay

If you have installed the Apple Pay app and activated the Apple Pay option and you are navigating through Safari, you may choose such payment method. If you choose Apple Pay as an option, a popup will be displayed and you will need to insert your shipping and billing address and select the preferred card connected to your account. Once completed, you will need to click on “proceed” button and authenticate yourself through Face ID or Fingerprint and validate the payment. In the event of payment via Apple Pay, the total amount due will be debited by Apple Pay to you at the conclusion of the online contract. In the event of the termination of the purchase agreement and for any other type of refund, for any reason, the refund will be credited to your Apple Pay account that you used for the original purchase. The time required to credit the payment instrument connected to said account depends exclusively on Apple Pay and the banking system. Once the credit order in favor of said account has been arranged, KORA cannot be held responsible for any delays or omissions in crediting you with the refund. To contest these cases, you must contact Apple directly.

Google Pay

If you have installed the Google Pay app and activated the Google Pay option, you may choose such payment method. If you choose Google Pay as an option, a popup will be displayed and you will need to insert your shipping and billing address and select the preferred card connected to your account. Once completed, you will need to click on “proceed” button and authenticate yourself through fingerprint and validate the payment. In the event of payment via Google Pay, the total amount due will be debited by Google Pay to you at the conclusion of the online contract. In the event of the termination of the purchase agreement and for any other type of refund, for any reason, the refund will be credited to Your Google Pay account that you used for the original purchase. The time required to credit the payment instrument connected to said account depends exclusively on Google and the banking system. Once the credit order in favor of said account has been arranged, KORA cannot be held responsible for any delays or omissions in crediting you with the refund. To contest these cases, you must contact Google directly.

14. DELIVERY AND ORDER TRACKING

International shipping is available when ordering Products from the Website. You can view the countries to which we ship Products and from which we accept returns/exchanges directly on our Website. We will not deliver any Products unless or until payment has been authorized by our international payment system. When the Products have been delivered to our carrier, we will send you the “Order Completed” e-mail with shipping information and estimated delivery dates.

Delivery will be made by courier during normal business hours. Please be advised that shipping costs may apply to your Order. We will make any reasonable effort to deliver the Products within the number of days specified on your “Order Completed” e-mail. However, any delivery date or time specified by us is a best estimate only, and we will not be liable for any loss or damage suffered by you through any such delay in delivery. You can track the progress of your Order by entering the tracking number provided in your Order Confirmation. Products that we deliver to you will become your property at the time that you receive them. As soon as we have delivered the Products to you, you will become responsible for them and for any loss or damage to them thereafter. Upon delivery of the Products, and before signing any document attesting delivery, you must carefully check the integrity of the package. If the external packaging or the product is damaged at time of delivery, please reject the package and note in the proof(s) of delivery the damage. By signing the acknowledgement / proof(s) of delivery, you acknowledge that the merchandise and the amount paid is correct. You hereby waive your rights to any refund or reimbursement if you fail to comply with these provisions.

15. HOW DO I RETURN/EXCHANGE A PRODUCT?

Thank you for ordering from us.

KORA will replace or refund any product purchased from the online store that does not conform to your expectations, if you submit your request within 14 days from the product delivery date. The date is determined by the courier tracking system. For this purpose, terms and conditions explicated in Terms and Conditions apply. Customers should dispatch the Products for return from the same country where the Products were first delivered.

The following policy applies only to Products shipped to Countries that are purchased on our Website. We cannot accept returns/exchanges of Products purchased on other websites, in physical stores, or Products from countries where we do not ship merchandise directly. Please see the specific applicable conditions below:

• To Return or Exchange a Product Purchased By You:

You may return or exchange the color or size of any online purchase made by you, within 14 days after the Products are received. Each Product can be exchanged or returned one time only. Please note we only accept exchanges for changing the color or size of the same Product already purchased. If you would like a different Product, please return your purchase and place a new order. Returning or exchanging purchased Products can be done in 3 easy steps: 1. Please login to your Account. At the bottom you will find “The online return form”, you can complete it or just complete the same printed version of “the return form” you’ll receive in your parcel. Alternatively, you can contact the Customer service for returns; Customers are kindly requested to specify the unique identifying number of the Order. If possible, please provide a reason for the return or exchange so we can better serve you in the future. 2. Place all Products for return/exchange new, unused, not altered and in perfect condition with all of the tags and labels attached in their original boxes and packaging along with the filled Return Form if you haven’t filled in online form. 3. Tear off (Write\Print) return address label from the “Return form” and visit the courier.
Deliver the parcel to the courier or bring it to the drop off point. We remind you that each return request refers to the products contained in one order only. For different orders, separate requests must be submitted. KORA products must be delivered to the courier for shipment or to the drop off location within 14 days. After receiving the products and having these been reviewed by our Quality Control Staff, we will inform you about the acceptance of the return. In the event that an exchange request is accepted we will provide you with a new tracking number. In this case, if your return or exchange request is rejected, any additional shipping costs will not be refunded.

• Products You Received As a Gift:

You may return or exchange any Products received as a Gift for any reason within 14 days after the Product is received. Please note we only accept exchanges for changing the color or size of the same Product already purchased. If you return a Gift, only the original purchaser will be entitled to receive a refund. Each Gift Product received may be exchanged one time, only. For Products you received as a Gift, the refund can only be issued to the purchaser therefore you will be contacted by the Customer Service to obtain all the necessary information in connection thereto.

Please note that when the Products are returned to us, we will review them for quality control. If the Products are sent back in perfect condition, new, unused, and with all of the tags and labels attached, we will approve the return and, as the case may be, exchange the Products or reimburse the total amount paid minus original shipping costs to the credit card. We will credit the refund to the credit card, within approximately ten (10) days from the date that we receive the returned Products, save for possible delays of technical nature not attributable to us (e.g.: malfunctions of the credit card system). You remain responsible for any charge applied by your bank. In cases where the Products appear to be worn or used, are missing any of the labels or tags, do not comply with our Terms and Conditions of Sale, are sent from countries where we do not ship directly or where we have any reason to believe that the Products were not purchased directly on our Website, we will not be able to accept the return/exchange and we will send the original Products back to you.

Customers acknowledge and agree to be liable for any loss or damage to the Products during the return process.

The Seller may refuse to accept any further Orders from a Customer after multiple returns on previous purchases by the same Customer.

The products must not show any signs of wear, for that they should not be used or altered in any way. The lack of one of the previously described requirements makes it impossible to accept the return request.

• Return of damaged or faulty Products

The Seller guarantees the Customer that the Products are not defective or flawed and that the Products conform to the Product description given by the Seller (us) on this Site.
Minor differences between the Product description on the Site and the actual Product features should not be deemed to lead to any non-conformity of the Product for the purposes of these Terms and Conditions.
Customers are invited to inspect carefully any parcel before signing and confirming the completed delivery. In the unlikely event of a Product being defective, flawed or non-conforming to the Product description on this Site, Customers are entitled to ask that the Product is repaired or replaced free of charge within a reasonable period and without major inconvenience to the Customer.
If repairing or replacement is impossible or disproportionate, or if the Seller has not remedied the shortcoming within a reasonable period or without major inconvenience to the Customer, Customers are entitled to ask for a total or partial refund of the Purchase price.
